a. Both parties hereto hereby agree that the Transaction Code under this SPA shall be known as TRANSACTION CODE: BLACKGOLD-152/INT/2020

b. Both parties hereby agree that all communications, agreements, commitments or directives pertaining to the conduct of the said transaction under this SPA shall always bear the Transaction Code as specified under Clause 1.0 (a) above for identity.

2: PRODUCT DESCRIPTION:

Price: -9% FIXING -6% commission

Initial Start Order Quantity: 500 Kilograms with more available

Payment Release: Via MT103/TT within 24 hours after assay at Buyer's refinery.

Loading Port: JKIA International Airport.

Shipment and Delivery: DAP Incoterms 2010 by Air Freight, KLM – Air France – Emirates or Similar. (Cost Insurance Freight) to the customs of the Buyer's destination airport.


3. PROCEDURE:

1.Seller sends FCO to the buyer and the buyer signs the FCO and returns it to the seller.

2.Seller prepares draft contract and sends to buyer for consideration and amendments if any.

3.Buyer signs contract and returns to seller along with RWA (Ready, willing, and Able) Letter from his bank, stating his readiness and have the available funds to carry out the transactions. Upon receiving, seller signs and seal contract and sends final copy along with commercial invoice to Buyer for proceeding with opening of SBLC - MT760.

4.Buyer issues a 100% cash backed, confirmed and operative MT760 Standby Letter of Credit (SBLC) via bank to bank to Seller’s financier bank. and sends SWIFT copy to seller to for confirmation.


5.Upon confirmation of the instrument by financier’s bank, the seller commences shipment of the gold right to Buyer’s refinery in destination country at seller’s cost within 7 working days.

6.Once all export documents are ready, seller will travel same time of dispatch of gold. Buyer will pick up Seller
representative at airport and together both parties will clear the gold from airport and transport to Buyer’s refinery
to witness final assay and payment.


After final assay at buyer’s refinery, buyer will then have to pay complete amount in commercial invoice to Seller’s designated account within 72 hours through T/T. Upon successful completion of transaction, both parties can sign a Top Table long term monthly delivery contract and lay out the terms of supply on top table.


4. LIST OF EXPORT DOCUMENTS:

Original Commercial Invoice

Original Assay Report to Be Accepted by Seller and Buyer.

Documents Originals for Gold Import Issued by Buyer Customs.

Original Packing List.

Original Export Tax Receipt.

Original Ownership Certificate.

Certificate of Origin

Original Airway Bill/Cargo Receipt.

Original Export Documents Issued by Customs

5. TAXES AND DUTIES:

1.Buyer hereby undertakes to pay all taxes and duties imposed by the Country of Port of Origin pertaining to exportation of Gold Dore Bar, the subject matter of this SPA. Which shall be reimbursed during final payment at the buyer destination.
