*PROCEDURE(NON-NEGOTIABLE):*
1. Buyer and Seller sign and seal the Sales and Purchase Agreement including full Banking coordinates of Seller and Buyer. 买卖双方在购销合约上填上各自的完整银行坐标，然后签字盖章

2. Buyer returns signed SPA with complete ATB format. (Names of persons and inspectors authorized to board the storage for Q & Q inspection) 买方以完整的ATB格式将已签署的购销合约退还（有关人员和得到授权前往该油库进行数量与质量检查的商检员的姓名).

3. Seller sends four (4) documents to buyer to confirm product in storage 卖方向买方发出四份文件以确认产品存在油库中。
(1) Tank Receipt 油罐收据
(2) Storage Certificate 油库证书
(3) Storage information 油库资料
(4) Discharge certificate 卸货证书

4. Buyer confirms 4 documents (above) and then informs seller's bank they are ready to pay logistics fee of USD$500,000(PAID DIRECTLY TO NNPC OFFICIAL ACCOUNT) for the Warrantee of Title (WOT) to be given to buyer so buyer can board the storage tank for Q & Q inspection. WOT means guarantee of ownership is transferred to buyer. WOT will be issued within 2(TWO) DAYS AFTER RECEIPT OF LOGISTICS.

Reassignment of the following documents will be made to buyer with the WOT. 下列文件将与所有权担保一起再派发。
　CLEAN OCEAN BILL OF LADING, ONE (1) ORIGINAL AND THREE (3) COPIES 清洁海洋提单，一份原本与三份副本。
　SELLER'S COMMERCIAL INVOICE, ONE (1) ORIGINAL AND THREE (3) COPIES 卖方的贸易发票，一份原本与三份副本。
　SGS/SAYBOLT CERTIFICATE OF QUALITY AND QUANTITY, ONE (1) ORIGINAL AND THREE (3) COPIES
　由ＳＧＳ或ＳＡＹＢＯＬＴ（国外著名商检公司）所检测与签发的质与量证书，一份原本与三份副本。
　CERTIFICATE OF ORIGIN ISSUED BY NNPC, ONE (1) ORIGINAL AND THREE (3) COPIES　
　由尼日利亚国家石油公司发出的原产地证书，一份原本与三份副本。
　CERTIFICATE OF AUTHENTICITY ISSUED BY NNPC, ONE (1) ORIGINAL AND THREE (3) COPIES
　由尼日利亚国家石油公司发出的质量鉴定证明书，一份原本与三份副本。
　CERTIFICATE OF OWNERSHIP　所有权证明书　
　MASTER＇S RECEIPT FOR SAMPLES　样品收货单　
　MASTER＇S RECEIPT FOR DOCUMENTS　文件收据
　CARGO MANIFEST　货物仓单
LOGISTICS FEE IS DEDUCTED FROM FINAL INVOICE. NNPC OFFICIAL INVOICE　WILL BE ISSUED FOR LOGISTICS PAYMENT.　物流费将在最终的贸易发票中扣除。尼日利亚国家石油公司亦会为这笔物流费开具正式的发票。

5. Seller shall at the instance of the buyer ensure clearance is gotten for the supercargo and inspectors to confirm product.　应买方之请，卖方保证押运员和商检员前往确认货物获得准许。

6. Buyer receives the inspection team on board storage for Q&Q Inspection.　买方接受商检团队在油库所进行的质与量检测。　

7. Buyer's Bank shall swift Operative Bank Guarantee –MT103/T/T covering the entire cargo within 4 hours upon receipt of Q&Q Report from the Inspection Agency.　买方的银行在收到来自商检机关发来的质与量检验报告后四个小时内，即以环球金融银行电讯代码发出覆盖全部货物的有效银行担保，即ＭＴ１０３。

8. All commissions as per SPA are payable immediately after receipt of Q & Q　在收到质与量检验报告后立即按照购销合约支付全部佣金。

9. Buyer’s Bank shall effect payment immediately via Swift transfer.　买方的银行将通过环球金融银行电讯代码让转账支付立即生效。
　
10. Buyer’s vessel is cleared to sail to her port of destination/discharge takes place.　
　　买方的船只得到将货物运送至其目港或卸货港的可以启航的允许。　

NOTE; DISCHARGE WILL ONLY TAKE PLACE AFTER ALL FEES AND COMMISSIONS HAVE BEEN PAID ACCORDINGLY.

THE BUYER SHALL BE RESPONSIBLE FOR ALL DUTIES AND TAXES LEVIED ON CARGO BY THE AUTHORITIES OF THE COUNTRY OF DISCHARGE. TITLE SHALL PASS FROM SELLER TO BUYER WHEN THE COMPLETE DISCHARGE OF CARGO IS MADE TO BUYER.　
注：在所有费用与佣金得到妥善支付之后卸货才能开始。买方必须负责货物在其国内卸下时当局所征收的所有关税。在货物卸货完成时其所有权亦从卖方转移到买方手中。
